Preamble

These Terms of Use (hereinafter "Terms") aim to define the terms and conditions of use of the Bounce Crew service (hereinafter "the Service"), as well as to define the rights and obligations of the parties in this context.

The Service is published by KALEO-IT, SAS with capital of €500.00, registered with the Lille Métropole RCS under number 882 321 227, with registered office at 679 avenue de la République, 59800 Lille (hereinafter "the Publisher").

Registration and use of the Service implies full and unreserved acceptance of these Terms. Failing acceptance, the User may not use the Service.

Article 1 - Definitions

For the purposes of these Terms:

  • "Service" : the Bounce Crew platform accessible at bounce-crew.io, enabling collaborative management of LinkedIn posts.
  • "User" : any natural or legal person registered to the Service.
  • "Workspace" : collaborative workspace created by a User and able to accommodate several members.
  • "Content" : any text, image, media or information published by the User via the Service.
  • "Account" : User's personal space, accessible via their LinkedIn login credentials.

Article 2 - Service Description

Bounce Crew is a B2B SaaS (Software as a Service) platform for collaborative LinkedIn post management. The Service notably enables:

  • Creating and scheduling LinkedIn posts
  • Collaboration between members of the same Workspace
  • AI-assisted content generation
  • Publication performance tracking
  • Managing customized AI profiles for content generation

The Publisher reserves the right to modify, suspend or discontinue all or part of the Service at any time, with or without notice, without incurring any liability.

Article 3 - Registration and Account

3.1 Registration Conditions

Registration to the Service is reserved for legal entities and professionals acting in the course of their professional activity. The User declares being of legal age and having the legal capacity to enter into this contract.

3.2 Registration Process

Registration is done via LinkedIn OAuth authentication. The User thus authorizes the Service to access certain information from their LinkedIn profile in accordance with the Privacy Policy.

3.3 Account Security

The User is solely responsible for the confidentiality of their login credentials and all activities carried out from their Account. They undertake to immediately inform the Publisher of any unauthorized use of their Account.

Article 4 - User Obligations

The User undertakes to:

  • Provide accurate, complete and up-to-date information when registering and throughout use of the Service;
  • Use the Service in accordance with its intended purpose and these Terms;
  • Not use the Service for unlawful purposes or contrary to public order and morality;
  • Not publish Content infringing the rights of third parties (intellectual property, privacy, image, etc.);
  • Not attempt to circumvent security measures or access unauthorized resources;
  • Comply with LinkedIn's terms of use and applicable laws.

Article 5 - User-Generated Content

5.1 Content Ownership

The User retains all their intellectual property rights over the Content they publish via the Service. By using the Service, the User grants the Publisher a non-exclusive, worldwide, free license to use this Content solely for the purpose of providing the Service.

5.2 AI-Generated Content

The Service offers AI-assisted content generation features. The User acknowledges that:

  • AI-generated content is provided as a suggestion and must be verified before publication;
  • The User remains solely responsible for the content they choose to publish;
  • The Publisher does not guarantee the accuracy, originality or relevance of AI-generated content.

5.3 Prohibited Content

The following Content is strictly prohibited:

  • Defamatory, insulting, obscene, pornographic or violent content;
  • Content inciting hatred, discrimination or violence;
  • Content infringing third-party intellectual property rights;
  • Content containing personal data of third parties without their consent;
  • Spam or unsolicited advertising;
  • Content contrary to applicable laws and regulations.

Article 6 - Intellectual Property

The Service, including its structure, design, features, source code, databases, trademarks and logos, is the exclusive property of KALEO-IT and is protected by French and international intellectual property laws.

Any unauthorized reproduction, representation, modification or exploitation, even partial, of the Service is strictly prohibited and would constitute infringement sanctioned by the Intellectual Property Code.

Article 7 - Liability

7.1 Publisher Liability

The Publisher undertakes to implement all reasonable means to ensure the availability and proper functioning of the Service. However, the Service is provided "as is" and the Publisher does not guarantee:

  • That the Service will be free from errors or bugs;
  • That the Service will be available without interruption;
  • That the Service will be compatible with all equipment and software;
  • That results obtained via the Service will be accurate or reliable.

7.2 Limitation of Liability

To the extent permitted by law, the Publisher's liability shall not be engaged for indirect, incidental, special or consequential damages, including loss of profits, data or business opportunities.

In any case, the Publisher's total liability under these Terms shall not exceed the amount actually paid by the User during the twelve (12) months preceding the event giving rise to the damage.

Article 8 - Personal Data

The processing of Users' personal data is governed by our Privacy Policy, which forms an integral part of these Terms.

Article 9 - Suspension and Termination

9.1 Suspension

The Publisher reserves the right to suspend access to the Service, without notice or compensation, in case of:

  • Violation of these Terms;
  • Conduct harmful to the interests of the Publisher or other Users;
  • Fraudulent or abusive use of the Service;
  • Non-payment of amounts due.

9.2 Termination by User

The User may terminate their Account at any time from their Account settings or by contacting support. Termination conditions for paid subscriptions are specified in the Terms of Sale.

9.3 Consequences of Termination

In case of termination, User data will be deleted in accordance with our Privacy Policy, subject to legal retention obligations.

Article 10 - Amendment of Terms

The Publisher reserves the right to modify these Terms at any time. Modifications will take effect upon publication on the Service.

The User will be informed of substantial modifications by email or notification in the Service. Continued use of the Service after the effective date of modifications constitutes acceptance of the new Terms.

Article 11 - Entirety

These Terms, together with the Privacy Policy and the Terms of Sale where applicable, constitute the entire agreement between the User and the Publisher regarding the use of the Service and supersede all prior agreements.

Article 12 - Partial Invalidity

If one or more provisions of these Terms are declared null or unenforceable, the other provisions shall remain in full force and effect.

Article 13 - Applicable Law and Jurisdiction

These Terms are governed by French law.

In case of dispute relating to the interpretation or execution of these Terms, the parties shall endeavor to find an amicable solution. Failing amicable agreement within thirty (30) days, the dispute shall be submitted to the competent courts of Lille.
